These Terms & Conditions ("Terms") govern your access to and use of the GXKart website, platform, software, and related services.
GXKart provides a white-label eCommerce platform that enables businesses to create and manage their own branded online stores, manage products and inventory, process orders, and operate their online commerce activities through a centralized dashboard.
By accessing our website, registering an account, subscribing to a plan, or using any GXKart service, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not access or use our services.
02Definitions
For the purposes of these Terms:
"GXKart," "we," "our," or "us" refers to the company operating the GXKart platform.
"Platform" refers to the GXKart website, software, dashboard, applications, tools, and related technology services.
"Business Owner" or "Tenant" refers to an individual or business subscribing to GXKart to operate its own branded online store.
"End Customer" refers to an individual who visits, registers with, or purchases products from a store powered by GXKart.
"Services" refers to the white-label eCommerce solution, storefront, inventory management, order management, customer management, checkout functionality, and other features provided by GXKart.
"Subscription Plan" refers to the pricing package selected by a Business Owner to access the GXKart platform.
03Eligibility and Account Registration
To use GXKart as a Business Owner, you must:
-Be legally capable of entering into a binding agreement.
-Provide accurate and complete registration information.
-Maintain valid contact and business information.
-Use the platform for lawful business activities.
-Comply with applicable laws and regulations.
You are responsible for maintaining the confidentiality of your login credentials and for all activities performed through your account.
You must notify GXKart promptly if you suspect unauthorized access to your account.
GXKart reserves the right to reject registrations or restrict accounts where information is inaccurate, fraudulent, or inconsistent with these Terms.
04Description of Services
GXKart provides a technology platform that enables businesses to establish and operate their own branded eCommerce stores.
Depending on the selected subscription plan, services may include:
-Branded online storefront creation.
-Product and category management.
-Inventory and stock management.
-Order management.
-Customer management.
-Checkout and payment gateway integration.
-Delivery and fulfillment management.
-Business dashboard and reporting.
-Store configuration and customization.
-Additional features introduced from time to time.
The availability of specific features may vary according to the selected plan, configuration, or service agreement.
GXKart reserves the right to modify, improve, add, or discontinue features, provided that applicable contractual obligations are respected.
05White-Label Platform and Business Ownership
GXKart enables Business Owners to operate online stores under their own business names, branding, logos, and commercial identity.
The Business Owner retains responsibility for:
-Store branding and business identity.
-Products and services offered.
-Product descriptions, pricing, and availability.
-Customer communications.
-Order acceptance and fulfillment.
-Delivery arrangements.
-Returns, cancellations, and refunds.
-Applicable business licenses and registrations.
-Tax obligations and regulatory compliance.
GXKart provides the underlying technology infrastructure and does not become the seller of products offered by independent Business Owners merely by providing the platform.
Unless expressly agreed otherwise in writing, GXKart does not own, control, or guarantee the products, services, or commercial transactions conducted by individual stores.
06Subscription Plans and Fees
Access to certain GXKart services requires an active paid subscription.
The applicable subscription fees, billing cycle, included features, and usage limits will be displayed during plan selection or communicated through a separate commercial agreement.
By subscribing, you agree to:
-Pay the applicable subscription fees.
-Provide accurate billing information.
-Maintain a valid payment method where required.
-Pay applicable taxes and other charges.
-Comply with the terms of your selected subscription plan.
GXKart may revise subscription pricing or plan features from time to time. Any changes affecting an existing subscription will be communicated in accordance with applicable law and contractual
07Billing, Renewal, and Payment
Subscriptions may be offered on a monthly, annual, or other billing basis, depending on the available plans.
Where automatic renewal is enabled, your subscription may renew at the end of the applicable billing period unless canceled before renewal.
You authorize GXKart or its designated payment service provider to charge the applicable subscription fees using your selected payment method.
If a payment fails or remains outstanding, GXKart may notify you and request payment resolution.
Continued non-payment may result in restricted access, suspension, or termination of services.
08Free Trials and Promotional Offers
GXKart may provide free trials, promotional subscriptions, discounts, or introductory offers.
Unless otherwise specified:
-Trial access is available only for the stated trial period.
-Certain features may be limited during the trial.
-A paid subscription may be required after the trial expires.
-Promotional offers may be subject to additional eligibility conditions.
If a trial converts into a paid subscription, the applicable subscription fees will be charged according to the terms disclosed during registration.
GXKart reserves the right to modify or discontinue promotional offers, subject to applicable law.
09Cancellation and Refund Policy
Business Owners may cancel their subscriptions through the available account settings or by contacting GXKart support.
Unless otherwise specified in a separate agreement:
-Cancellation prevents future subscription renewals.
-Access may continue until the end of the current paid billing period.
-Subscription fees already paid are generally non-refundable.
-Refund requests will be reviewed in accordance with the applicable refund policy and mandatory legal requirements.
Cancellation of a subscription does not automatically cancel outstanding payment obligations.

10Business Owner Responsibilities
As a Business Owner, you agree to use GXKart responsibly and ensure that your store operates lawfully.
You must not:
-Sell prohibited or illegal products.
-Upload misleading, fraudulent, or deceptive product information.
-Violate intellectual property rights.
-Engage in fraudulent transactions.
-Use the platform for money laundering or other unlawful activities.
-Attempt unauthorized access to the platform.
-Distribute malware or harmful software.
-Interfere with the security or performance of GXKart.
-Misuse customer information.
-Engage in activities that violate applicable consumer protection or data protection laws.
You are solely responsible for the accuracy and legality of your store content, products, pricing, and business practices.
11Products, Orders, and Customer Transactions
GXKart provides tools that allow Business Owners to list products, manage inventory, receive orders, and facilitate checkout.
The Business Owner is responsible for:
-Maintaining accurate product information.
-Displaying correct prices.
-Ensuring stock availability.
-Accepting or rejecting orders.
-Fulfilling orders within the communicated timelines.
-Managing customer complaints.
-Handling returns, cancellations, and refunds.
-Complying with applicable consumer protection laws.
GXKart does not guarantee the quality, safety, legality, or availability of products sold through independent stores.
Any purchase agreement between an End Customer and a Business Owner is between those respective parties unless expressly stated otherwise.
12Payment Gateway and Third-Party Integrations
GXKart may integrate with third-party payment gateways, shipping providers, communication services, analytics tools, and other external services.
Payment processing, settlement, transaction fees, refunds, chargebacks, and payout timelines may be governed by the applicable third-party provider's terms.
GXKart does not independently guarantee the availability, uninterrupted operation, or performance of third-party services.
Business Owners are responsible for maintaining their own payment gateway accounts and complying with the relevant provider's requirements.
13Intellectual Property Rights
All intellectual property rights in the GXKart platform, including its software, source code, design, interface, logos, trademarks, documentation, and proprietary technology, remain the property of GXKart or its respective licensors.
Subject to these Terms and an active subscription, GXKart grants the Business Owner a limited, non-exclusive, non-transferable, revocable right to access and use the platform for its intended business purposes.
Business Owners retain ownership of their own trademarks, logos, business information, and content uploaded to their stores.
By uploading content, you grant GXKart a limited license to host, process, display, and use that content solely as necessary to provide the services.
You must not copy, resell, reverse engineer, modify, distribute, or commercially exploit GXKart's proprietary software without prior written authorization, except where such restrictions are prohibited by law.
14Customer Data and Privacy
GXKart is committed to protecting personal information in accordance with its Privacy Policy and applicable data protection laws.
Business Owners acknowledge that they may collect and process customer information through their stores.
As a Business Owner, you agree to:
-Collect customer information lawfully.
-Provide appropriate privacy notices.
-Obtain consent where required.
-Use customer information only for legitimate business purposes.
-Implement reasonable security measures.
-Respect customer privacy rights.
-Avoid unauthorized disclosure or misuse of personal information.
GXKart may process customer information on behalf of Business Owners to provide platform functionality.

15Platform Availability and Maintenance
GXKart aims to provide reliable and secure services.
However, uninterrupted availability cannot be guaranteed.
Services may occasionally be unavailable due to:
-Scheduled maintenance.
-Software updates.
-Infrastructure issues.
-Network interruptions.
-Third-party service failures.
-Security incidents.
-Events beyond our reasonable control.
We may temporarily suspend access where necessary to maintain, protect, or improve the platform.
Where reasonably practicable, we will provide advance notice of planned maintenance that may significantly affect service availability.
16Account Suspension and Termination
GXKart reserves the right to suspend, restrict, or terminate an account where:
-These Terms are violated.
-Subscription payments remain overdue.
-Fraudulent or illegal activity is identified.
-Platform security is compromised.
-The account is used to harm GXKart or other users.
-Continued service would violate applicable law.
Where appropriate, GXKart may provide notice and an opportunity to resolve the issue before taking action.
Business Owners may terminate their accounts by submitting a request through the available account settings or contacting support.
Upon termination:
-Access to the platform may be disabled.
-Storefront services may cease.
-Subscription renewal will be stopped.
-Outstanding payment obligations will remain due.
-Data will be handled in accordance with our Privacy Policy and applicable retention requirements.
Business Owners are responsible for exporting or obtaining copies of their business data before account termination, where export functionality is available.
17Data Backup and Business Continuity
GXKart may implement backup and recovery procedures to support platform reliability.
However, Business Owners are encouraged to maintain independent copies of important business records, product information, customer records, and transaction information where appropriate.
GXKart shall not be responsible for business losses resulting from data loss or service interruptions except to the extent such liability cannot be excluded under applicable law or arises from GXKart's breach of its contractual obligations.
18Disclaimer of Warranties
GXKart provides its services on an "as available" basis, subject to applicable law and the express commitments made under the relevant subscription or service agreement.
We do not guarantee that:
-The platform will always be uninterrupted or error-free.
-Every feature will be compatible with every third-party service.
-Business Owners will achieve any specific sales or revenue.
-Third-party integrations will remain available indefinitely.
-All technical issues can be resolved immediately.
Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.
19Limitation of Liability
To the maximum extent permitted by applicable law, GXKart shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from the use of or inability to use the platform.
GXKart shall not be responsible for disputes between Business Owners and their End Customers, including disputes involving product quality, delivery, pricing, refunds, or business conduct, except where liability arises from GXKart's own acts or omissions.
To the extent permitted by applicable law, GXKart's aggregate liability arising from the services shall not exceed the subscription fees paid by the relevant Business Owner to GXKart during the three (3) months immediately preceding the event giving rise to the claim.
This limitation does not apply to liabilities that cannot legally be limited or excluded.
20Indemnification
You agree to indemnify and hold harmless GXKart, its affiliates, employees, and representatives from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:
-Your misuse of the platform.
-Your violation of these Terms.
-Your products, services, or business operations.
-Your violation of applicable laws.
-Your infringement of third-party intellectual property rights.
-Your unlawful collection or misuse of customer information.
This obligation shall not apply to the extent a claim results from GXKart's own unlawful conduct or breach of applicable obligations.
21Third-Party Links and Services
Our platform may contain links to external websites or services.
These services are operated independently and may have their own terms, privacy policies, and operational requirements.
GXKart does not control third-party services and is not responsible for their independent content, policies, or performance.
22Changes to These Terms
GXKart may update these Terms to reflect changes in our services, business operations, technology, or legal requirements.
Updated Terms will be published on our website with a revised "Last Updated" date.
Where required by law or applicable agreement, we will provide notice of material changes.
Your continued use of the services after the effective date of updated Terms constitutes acceptance of those changes, to the extent permitted by applicable law.
23Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the jurisdiction in which the GXKart operating entity is legally established, unless otherwise required by applicable law.
Any disputes arising from these Terms shall first be addressed through good-faith discussions between the parties.
If a dispute cannot be resolved amicably, it shall be submitted to the competent courts or dispute resolution forum having jurisdiction under applicable law.
Nothing in this section limits any mandatory rights available to consumers under applicable law.
